Standard Terms and Conditions of Sale

Applicable to all clients, partners and donors of Go Cultura Foundation

1. 

General Terms

By placing an order or receiving services from Go Cultura Foundation, the client agrees to these Standard Terms and Conditions of Sale. The client explicitly waives the applicability of any of its own standard terms and conditions, even if communicated after the acceptance of this agreement. Any deviations or amendments must be confirmed in writing and agreed to by both parties in advance.

2. 

Payment Terms

All invoices are payable within 7 working days from the invoice date unless otherwise specified in writing on the invoice or purchase agreement. Late payments will incur a fixed interest fee of 10% on the outstanding balance. Go Cultura Foundation reserves the right to suspend or terminate ongoing services without prior notice in the event of late or non-payment.

3. 

Debt Recovery

Should payment remain outstanding beyond sixty (60) calendar days, Go Cultura Foundation reserves the right to engage a debt collection agency or initiate legal proceedings. All associated costs, including legal fees and collection charges, will be borne entirely by the client.

4. 

Tax and Withholding Obligations

In the event that the client resides in a jurisdiction where tax or withholding at source is required, the client agrees to fully bear those obligations in compliance with their local tax legislation. Go Cultura Foundation shall receive the full invoice amount without deductions, and under no circumstances will be liable for foreign tax regulations or fiscal charges imposed outside Aruba.

5. 

Service Provision and Liability

Go Cultura Foundation commits to delivering professional services and/or products within reasonable timeframes as mutually agreed. However, unless explicitly stated, no obligation of result is assumed. The client acknowledges that Go Cultura Foundation shall not be held liable for any indirect damages or claims by third parties, including claims from the client’s own customers.

6. 

Complaints and Claims

To be valid, any complaints regarding the services or goods delivered must be submitted in writing to Go Cultura Foundation via registered mail within eight (8) calendar days of receipt. Failure to submit a timely claim shall be deemed acceptance of the delivery or service in full.

7. 

Applicable Law and Jurisdiction

These Terms and Conditions and all related transactions are governed exclusively by Aruban law. Any disputes shall be submitted to the competent courts of Oranjestad, Aruba, unless otherwise mutually agreed in writing.
